WHEREAS, Alarm Guard is a Smart Home Sales and Installation Company and WHEREAS, Referral Partner desires to act as a Referrer of new business leads; NOW THEREFORE, in consideration of the mutual promises contained herein, it is agreed by and between the respective parties as follows:

1. Appointment as Referrer

Alarm Guard hereby designates and appoints Partner as a Referrer to actively promote and provide sales leads to Alarm Guard.

2. Obligations of the Referrer

Partner may refer business leads to Alarm Guard, as it pleases. Partner shall not have any authority to and shall not make any representation or warranty on behalf of Alarm Guard regarding price guarantee. Partner shall have the right to act in a Referrer capacity with other companies. Partner shall be compensated, pursuant to 3.2 below, subject to the following conditions: receipt of the email referral shall 1.) ALARM GUARD shall confirm the referred entity is not an existing customer of ALARM GUARD as of the date such referral is made and that the entity has not been engaged in active discussions during the 30 day period immediately preceding the date of such referral.

3. Obligations of Partner

ALARM GUARD will pay a commission of $250 per installed unit and bonus commission will be paid based on the Below Commission Pay Scale: Commission will be due upon thirty (30) days of installation of Partner’s referred entity.

Installed Accounts Monthly

1 - 9 Installed - Payout Per Install = $250

10 - 14 Installed - Payout Per Install = $350

15 - 19 Installed - Payout Per Install = $400

20 + Installed - Payout Per Install = $500

4. Expenses

Unless otherwise agreed to by ALARM GUARD in writing, Partner shall be responsible for all costs and expenses incurred in the performance of its services pursuant to this Agreement.

5. Independent Contractor

The relationship between Partner and ALARM GUARD established by this Agreement is that of "Independent Contractors" and Partner and ALARM GUARD shall each conduct its respective business at its own initiative, responsibility, and expense, and shall have no authority to incur any obligations on behalf of the other, except as otherwise provided herein.

THIS AGREEMENT made on the date below by and between and Referral Partner (hereinafter "Partner") PARTNER ADDRESS BELOW. and ALARM GUARD SECURITY. (hereinafter"ALARM GUARD") with its principal place of business at 153 Bridgeland Ave, Unit 1, North York ON, M6A 2Y6.

6. Notices:

All notices required or permitted under this Agreement shall be made in writing and shall be deemed to have been duly given if delivered per Alarm Guard or sent by registered or certified mail (return receipt requested). All notices shall be addressed to the parties at the respective addresses indicated above.

7. Governing Law

This Agreement and any transaction between Partner and ALARM GUARD hereunder shall be governed by, construed, and interpreted in accordance with the laws of the Province of Ontario.

8. Assignment

Neither party hereto may assign or otherwise transfer its rights and obligations under this Agreement.

9. Entire Agreement

This Agreement contains the entire agreement between the parties and it supersedes all previous agreements and proposals, oral or written, and all negotiations, conversations or discussions between the parties related to this Agreement. This agreement can be terminated by either party with a 30 day written notice.
