This Preferred Partner Agreement (the "Agreement") is made and entered into by and between Alarm Guard Security Services Inc. ("Company"), and the Preferred Partner ("Partner") who wishes to participate in the Preferred Partner Program.

Commission Structure

The commission structure for the Preferred Partner Program is as follows:

Number of Installs per Month

1-9 installs $250 Per Install

10-14 installs $300 Per Install

15-19 installs $350 Per Install

20+ installs $500 Per Install

Preferred Partner Responsibilities

2.1 Promotion and Referrals

Partner agrees to actively promote and refer customers to the AG Preferred Partner Program using approved marketing materials provided by the Company.

2.2 Compliance with Laws and Regulations

Affiliate agrees to comply with all applicable laws, regulations, and guidelines in promoting the Preferred Partner Program

2.3 Ethical Conduct

Affiliate agrees to engage in ethical and honest business practices, refraining from any misrepresentation, false claims, or unethical marketing tactics.

Company Responsibilities

3.1 Tracking and Commission Payouts

Company will track the number of installations generated by the Partner's referrals and calculate the commissions based on the agreed-upon commission structure. Commissions will be paid out according to the payout schedule defined by the Company.

3.2 Marketing Materials and Support

Company will provide approved marketing materials, such as branded landing pages, flyers, and other resources, to assist the Partner in promoting the Partner Program. Company will also offer support and guidance to ensure the Partner's success.

Term and Termination

4.1 Term

This Agreement will begin upon the Partner's acceptance into the Preferred Partner Program and will continue until terminated by either party.

4.2 Termination

Either party may terminate this Agreement at any time, with or without cause, by providing written notice to the other party.

Confidentiality

5.1 Non-Disclosure

During the course of this Agreement, both parties may have access to confidential information of the other party. Both parties agree to maintain the confidentiality of such information and not to disclose it to any third party without prior written consent.

Governing Law and Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the province of Ontario, without regard to its conflict of laws principles. Any disputes arising out of or related to this Agreement shall be subject to the exclusive jurisdiction of the province and federal courts located in Toronto, Ontario.

By accepting this Agreement, Affiliate acknowledges that they have read, understood, and agreed to all terms and conditions outlined herein.
